("Company," "we," "us," "our," or "LexxSign") that governs your access to and use of the LexxSign platform, including all associated features, functionality, and services (collectively, the "Service"). By accessing, browsing, or using LexxSign, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Acceptance of Terms
By creating an account, accessing the Service, or using any feature of LexxSign, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using LexxSign on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. Your use of the Service constitutes your acceptance of these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
LexxSign provides a cloud-based platform for creating, managing, and signing electronic documents. The Service allows users to upload PDF documents, add signature fields, send documents to signers, collect digital signatures, and maintain audit trails. The Service is powered by AI agents that assist with sales, follow-ups, after-sales support, and customer service. LexxSign also offers contract analysis and risk scoring through the LexxSign Intelligence feature.
The Service is provided "as-is" and "as-available." We reserve the right to modify, suspend, or discontinue the Service or any portion thereof at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
3. User Accounts
Account Creation: To use LexxSign, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your password and account credentials. You agree not to share your password with anyone and to notify us immediately of any unauthorized access to your account.
Account Responsibility: You are solely responsible for all activity that occurs under your account, whether authorized or unauthorized. You agree to notify LexxSign immediately of any unauthorized use of your account or any other breach of security.
Account Termination: You may terminate your account at any time by contacting our support team. Upon termination, your account will be deactivated, but we will retain your documents and data for 7 years to comply with legal and regulatory requirements.
4. Acceptable Use Policy
You agree not to use LexxSign for any illegal, harmful, or abusive purpose. Specifically, you agree not to:
• Upload documents containing illegal content, malware, or viruses
• Use the Service to harass, threaten, or defame any person or entity
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or attempt to discover the source code of LexxSign
• Use the Service to send spam, phishing emails, or fraudulent communications
• Violate any applicable laws, regulations, or third-party rights
• Use the Service to create forged or fraudulent signatures
• Interfere with or disrupt the integrity or performance of the Service
• Collect or track personal information of others without consent
• Use automated tools (bots, scrapers) to access the Service without permission
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and potential legal action.
5. Intellectual Property Rights
LexxSign Content: All content, features, and functionality of the LexxSign Service, including but not limited to software, code, design, graphics, and text, are owned by LexxSign or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or transmit any LexxSign content without our prior written permission.
Your Content: You retain all rights to documents and content you upload to LexxSign. By uploading content to LexxSign, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of providing the Service. We will not use your content for any other purpose without your explicit consent.
Templates and Tools: LexxSign provides templates, tools, and resources for your use. These templates are provided for informational purposes only and do not constitute legal advice. You are responsible for ensuring that your use of templates complies with applicable laws and regulations.
6. Electronic Signatures and Legal Validity
Legal Compliance: LexxSign signatures comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001), the Uniform Electronic Transactions Act (UETA), and the EU Regulation on electronic identification and trust services (eIDAS Regulation No 910/2014). Signatures created through LexxSign are legally binding and enforceable in court.
Signature Authentication: LexxSign uses industry-standard authentication methods to verify the identity of signers, including email verification, multi-factor authentication, and knowledge-based verification. However, you are responsible for ensuring that the level of authentication is appropriate for your use case.
Audit Trail: LexxSign maintains a tamper-proof audit trail of all signature activity, including signer identity, timestamp, IP address, device information, and any modifications to the document. This audit trail serves as evidence of the signature's validity and authenticity.
7. Document Storage and Retention
Storage Duration: We store your documents and signatures for 7 years after the document is signed to comply with legal and regulatory requirements. After 7 years, documents will be securely deleted unless you request extended retention.
Backup and Recovery: We maintain backup copies of all documents for disaster recovery purposes. Backup data is retained for up to 90 days and then securely destroyed. In the event of data loss, we will restore your documents from backup at no additional cost.
Data Security: All documents are encrypted using AES-256 encryption at rest and TLS 1.3 encryption in transit. We implement access controls, authentication, and monitoring to protect your documents from unauthorized access.
8. Payment Terms
Pricing: LexxSign offers a free plan with limited features and paid plans with additional features and higher usage limits. Pricing is displayed on our Pricing page and is subject to change with 30 days' notice.
Billing: Paid plans are billed monthly or annually, depending on your selection. Billing occurs on the date you upgrade to a paid plan and on the same date each month (or year) thereafter. You authorize us to charge your payment method on file for all fees and charges.
Payment Methods: We accept credit cards (Visa, Mastercard, American Express), debit cards, and bank transfers. All payments are processed securely through Stripe, a PCI-compliant payment processor.
Cancellation and Refunds: You may cancel your paid subscription at any time. Cancellation is effective at the end of your current billing period. We do not offer refunds for partial months or years. If you cancel mid-cycle, you will retain access to paid features until the end of your billing period.
Late Payment: If payment is not received by the due date, we may suspend your account until payment is received. Late payments may incur a 1.5% monthly interest charge or the maximum amount allowed by law, whichever is less.
9. Limitation of Liability
Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXXSIGN IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Damages: IN NO EVENT SHALL LEXXSIGN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap on Liability: LEXXSIGN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEXXSIGN IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Exceptions: These limitations do not apply to liability for death, personal injury, fraud, or gross negligence, or to any liability that cannot be limited by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless LexxSign and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property rights. This indemnification obligation does not apply to claims arising from LexxSign's gross negligence or willful misconduct.
11. Termination
Termination by You: You may terminate your account at any time by contacting our support team. Upon termination, your account will be deactivated, but we will retain your documents and data for 7 years to comply with legal and regulatory requirements.
Termination by LexxSign: We may terminate or suspend your account immediately, without notice, if you violate these Terms, engage in illegal activity, or pose a security risk to the Service. Upon termination, your account will be deactivated and you will lose access to the Service.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive termination.
12. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in San Francisco, California. The arbitration shall be conducted in English and shall be governed by JAMS rules. Each party shall bear its own costs and attorneys' fees, except as provided by law.
Injunctive Relief: Notwithstanding the arbitration clause, either party may seek injunctive relief in court to prevent irreparable harm or to enforce intellectual property rights.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. Your continued use of LexxSign following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the changes, you must stop using the Service.
